These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CypherPit LLC ("CypherPit," "we," "us," or "our"), governing your access to and use of the CypherPit website located at www.cypherpit.com, including all related applications, features, content, and services (collectively, the "Platform").
BY CREATING AN ACCOUNT, ACCESSING, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. If you do not agree, you must immediately cease all use of the Platform.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least fourteen (14) days before taking effect. Your continued use of the Platform after such notice constitutes acceptance of the revised Terms.
CypherPit operates as a promotional sweepstakes platform, not a gambling, wagering, or casino site. All activities on the Platform are governed by applicable sweepstakes promotion laws. The Platform uses a dual-currency system:
NO PURCHASE IS NECESSARY TO OBTAIN SWEEPS COINS OR TO PARTICIPATE IN SWEEPSTAKES PROMOTIONS. A free method of entry is always available. Purchasing GC does not increase your chances of winning SC prizes. GC and SC are separate, non-interchangeable currencies.
Virtual currencies (GC and SC) are licensed to you, not sold. You do not own virtual currencies; you hold a limited, personal, non-transferable, non-sublicensable, revocable license to use them on the Platform subject to these Terms.

Restricted jurisdictions: The Platform is not available to residents of, or persons physically located in, Washington, Idaho, Nevada, or Michigan. Additional jurisdictions may be restricted at any time based on regulatory developments. It is your sole responsibility to ensure that your use of the Platform complies with all laws applicable to you in your jurisdiction.
We use IP-based geolocation (via Vercel Edge Network) to enforce geographic restrictions. Circumventing geolocation controls (e.g., using a VPN or proxy) is a violation of these Terms and grounds for immediate account termination and forfeiture of all balances.
You must create an account to access certain features. You agree to:
Each individual may maintain only one (1) account. Creating multiple accounts, sharing accounts, or transferring accounts is prohibited and will result in termination of all associated accounts and forfeiture of all GC and SC balances.
We reserve the right to suspend or terminate accounts that we reasonably believe are involved in fraudulent, abusive, or unauthorized activity, with or without notice.
Eligible users may obtain Sweeps Coins at no cost through the AMOE program. To request free SC:
AMOE requests are processed within five (5) business days. Fraudulent, duplicative, or incomplete requests will be denied.

We reserve the right to delay or deny redemptions if we reasonably suspect fraud, collusion, manipulation of outcomes, bonus abuse, or violation of these Terms. Denied redemptions may result in forfeiture of associated SC and account suspension.
CypherPit offers optional subscription tiers ("Battle Pass") that provide enhanced entertainment features, bonus GC/SC allocations, and other benefits. Subscriptions are:
CypherPit hosts music-based entertainment battles where Users vote on musical performances using GC or SC. Battle outcomes are determined by crowd voting, algorithmic scoring, and market dynamics. Battle outcomes involve elements of subjective judgment and are not guaranteed to be predictable.
We make no representations or warranties regarding the accuracy of battle odds, market pricing, or any displayed statistics. All odds and market data are provided for entertainment and informational purposes only.
We reserve the right to void, cancel, or modify any battle, market, or entry at our sole discretion, including but not limited to cases of technical error, suspected manipulation, or platform integrity concerns. In such cases, affected entries will be refunded in the original currency used.
Promotional Activity. CypherPit may display simulated participant activity, including promotional viewer metrics, seeded prize pools, and community engagement indicators, for entertainment and promotional purposes. These elements do not affect the calculation of prizes for real user entries. User payouts are based solely on actual user entry pools and the battle outcome algorithm. Violation of these rules may result in immediate account suspension or termination, forfeiture of all GC and SC balances, and referral to law enforcement where appropriate.
Music Content: CypherPit does not host, upload, store, or distribute copyrighted music files. All music played on the Platform is streamed via official, licensed third-party embed APIs (Spotify, YouTube). CypherPit acts as a service that references and embeds publicly available content. We respect all copyright laws, including the Digital Millennium Copyright Act (DMCA).
DMCA Takedown: If you believe that content on the Platform infringes your copyright, please submit a DMCA takedown notice to legal@cypherpit.com including: (i) identification of the copyrighted work, (ii) identification of the infringing material and its location on the Platform, (iii) your contact information, (iv) a statement of good-faith belief, and (v) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.
CypherPit IP: All content, features, functionality, branding, logos, designs, text, graphics, and software on the Platform are owned by or licensed to CypherPit and are protected by U.S. and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or publicly display any Platform content without our express written consent.
User Content: By submitting content to the Platform (e.g., chat messages, usernames, profile information), you grant CypherPit a non-exclusive, worldwide, royalty-free, perpetual license to use, display, and distribute such content in connection with the Platform.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, CYPHERPIT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any information, content, or materials on the Platform, including but not limited to battle odds, market data, leaderboard rankings, or user statistics.
Your use of the Platform is at your sole risk. You assume full responsibility for any losses or damages resulting from your use of the Platform, including but not limited to loss of GC or SC balances.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CYPHERPIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
IN NO EVENT SHALL CYPHERPIT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CYPHERPIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless CypherPit, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Before initiating any formal dispute resolution, you agree to first contact us at legal@cypherpit.com and attempt to resolve the dispute informally for at least sixty (60) days. Most disputes can be resolved without formal proceedings.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms.
The arbitration shall be conducted by a single arbitrator in the English language. The seat of arbitration shall be in the state where you reside (or, if outside the U.S., in New York, NY). The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
The arbitrator shall have exclusive authority to resolve all disputes, including the arbitrability of any claim. However, a court of competent jurisdiction shall have exclusive authority to enforce the class action waiver in Section 16.3.
Arbitration fees: For claims under $10,000, CypherPit will pay all AAA filing and arbitrator fees. For claims over $10,000, fees shall be split according to AAA rules. Each party shall bear its own attorney's fees unless the arbitrator determines otherwise.
Opt-out: You may opt out of this arbitration agreement by sending written notice to legal@cypherpit.com within thirty (30) days of creating your account. Your notice must include your name, email, and a clear statement that you wish to opt out. If you opt out, disputes will be resolved in state or federal court in New York, NY.
YOU AND CYPHERPIT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm, and either party may bring claims in small claims court if the claims qualify.
We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to:
Upon termination: (a) your license to use the Platform is immediately revoked; (b) all GC balances are forfeited with no right to refund; (c) SC balances may be forfeited if termination is due to violation of these Terms; (d) pending SC redemptions may be cancelled; (e) Sections 11, 13–16, and 19 survive termination.
You may delete your account at any time by contacting support@cypherpit.com. Voluntary account deletion does not entitle you to a refund of GC. Eligible SC may be redeemed prior to deletion, subject to standard redemption requirements.
The Platform may contain links to third-party websites or services (including Spotify, YouTube, Stripe, and others) that are not owned or controlled by CypherPit. We are not responsible for the content, privacy practices, or availability of any third-party sites or services. Your use of third-party services is governed by their respective terms and policies.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. To the extent that arbitration is inapplicable or unenforceable, you consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York, for the resolution of any disputes.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any default shall not constitute a waiver of any subsequent default.
Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and CypherPit regarding the Platform, superseding all prior agreements, communications, and understandings.
Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. CypherPit may assign these Terms without restriction.
Force Majeure: CypherPit shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, or third-party service disruptions.
No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
